Preventative Planned Maintenance (PPM) – 12-Month Terms & Conditions

  1. Definitions

1.1 “PPM Plan” means the 12-month preventative planned maintenance service described in the Quotation.
1.2 “Quotation” means the written quotation issued by us detailing the scope of services, visit frequency, and annual cost.
1.3 “Visit” means a scheduled maintenance visit carried out in accordance with the Quotation.
1.4 “12-Month Period” means the period of twelve (12) consecutive months commencing on the agreed start date.

  1. Scope of Service

2.1 We will provide the number of Visits and services set out in the Quotation during the 12-Month Period.
2.2 The Quotation will confirm:

  • the number of Visits per year;
  • the frequency of Visits; and
  • the total annual cost of the PPM Plan.

2.3 The number of Visits stated in the Quotation represents the minimum annual service level and may not be reduced or substituted without prior written agreement from both parties.

  1. Term of Agreement

3.1 By accepting the Quotation, you enter into a fixed-term agreement for the full 12-Month Period.
3.2 This agreement automatically expires at the end of the 12-Month Period unless renewed by mutual agreement.

  1. Payment Terms

4.1 All prices are exclusive of VAT unless stated otherwise in the Quotation.
4.2 You may choose one of the following payment options:

  1. a) Pay per Visit
  • Invoices will be issued following each Visit.
  • Payment is due within thirty (30) days of the invoice date.
  1. b) Monthly Payments – subject to approval
  • The total annual cost will be paid in twelve (12) equal monthly instalments.
  • Payments will be made by Direct Debit or standing order on an agreed date each month.
  • Monthly payments are due whether or not a Visit has occurred in that month, as Visits are spread across the year.

4.3 Failure to make payment when due may result in suspension of services until payment is received.

  1. Scheduling and Access

5.1 Visit dates will be agreed in advance for each month in which a Visit is due.
5.2 Where you request a change to a scheduled Visit, it may be rescheduled by up to four (4) weeks from the original planned date, subject to availability.
5.3 The agreed annual Visit frequency must still be fulfilled within the 12-Month Period.
5.4 If access is not available at the agreed time, the Visit may be chargeable and rescheduled.

  1. Your Commitment

6.1 By accepting the Quotation, you commit to the full 12-Month PPM Plan and the total annual cost stated.
6.2 If you choose to cancel the service before the end of the 12-Month Period, the full contract value remains payable. This reflects the allocation of staff, resources, and scheduling reserved for your maintenance programme.

  1. Our Commitment

7.1 We will deliver the number of Visits and services agreed in the Quotation.
7.2 If we fail to deliver the agreed services and are unable to remedy the failure within a reasonable time you may cancel the agreement without penalty.
7.3 In such circumstances, we will refund any payments made for services not delivered.

  1. Fairness and Transparency

8.1 These Terms & Conditions are intended to ensure clarity and fairness for both parties.
8.2 You are protected against paying for services not delivered.
8.3 We are protected against early cancellation of a fixed-term service where resources have been committed in advance.

  1. Acceptance

9.1 Acceptance of the Quotation confirms that you have read, understood, and agree to these Terms & Conditions and the associated payment schedule.
